Terms of Service

By accessing or purchasing from Nexus Compounding LLC, you (the "Buyer") agree to the following terms. These Terms of Service (TOS) incorporate the Research Use Only (RUO) Policy in its entirety.

1. Binding Research Use Only (RUO) Agreement

All products distributed by Nexus Compounding LLC are provided exclusively for laboratory research and academic study. By placing an order, the Buyer affirms they have read and are bound by the Nexus Compounding LLC RUO Policy, specifically acknowledging:

• No Human/Animal Use: Products are explicitly not for human consumption, ingestion, veterinary use, or therapeutic application.
• Non-Regulatory Oversight: Products are not approved by any federal regulatory agency and are not pharmaceutical grade.

2. Manufacturing & Laboratory Standards

Nexus Compounding LLC maintains rigorous quality assurance protocols:

• ISO Class V Equipment: All compounding is performed utilizing high-precision ISO Class V equipment to ensure a controlled environment for research-grade materials.
• Batch Verification: A "test-first" protocol is used where every batch undergoes full-panel analysis for purity (HPLC), endotoxins, sterility, and heavy metals prior to lot assignment.
• Traceability: Each vial features a lot number or QR code tied directly to its parent batch and corresponding Certificate of Analysis (COA).

3. Buyer Representations & Warranties

The Buyer represents and warrants that:

• They are a qualified researcher or authorized institutional agent.
• They possess the necessary equipment and knowledge to handle research chemicals safely.
• They will not divert, resell, or misbrand Nexus Compounding LLC products for non-research purposes.

4. Limitation of Liability & Indemnification

THIS SECTION LIMITS OUR LEGAL LIABILITY. PLEASE READ CAREFULLY.

A. Disclaimer of All Warranties

All products are provided "AS IS" and "WITH ALL FAULTS." Nexus Compounding LLC makes no warranties, express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

B. Cap on Liability

To the maximum extent permitted by applicable law, the total cumulative liability of Nexus Compounding LLC (including its members, officers, and employees) for any claim arising out of or relating to the purchase or use of its products—whether in contract, tort (including negligence), or otherwise—shall not exceed the actual amount paid by the Buyer for the specific product giving rise to the claim.

C. Exclusion of Indirect Damages

In no event shall Nexus Compounding LLC be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages (including, without limitation, loss of research data, loss of profits, or injury resulting from unauthorized use) even if advised of the possibility of such damages.

D. Comprehensive Indemnification

The Buyer agrees to indemnify, defend, and hold harmless Nexus Compounding LLC and its affiliates from and against any and all claims, suits, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:

• The Buyer's use, handling, or storage of the products.
• Any use of the products in a manner inconsistent with the RUO Policy (including human administration).
• The Buyer's breach of these Terms or any applicable local, state, or federal law.

5. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal action arising from these Terms must be filed in the state or federal courts located in Texas.
